Nine-month revenue rose 144 percent to $22.5bn, while the company reported a $4.7bn net profit.

Offer closes October 27, with the refinery yet to disclose total subscriptions, offer size or the breakdown of domestic and foreign demand.

October 19, () – Dangote Petroleum Refinery and Petrochemicals has said its initial public offering has attracted subscriptions from investors in more than 90 countries, including 51 of Africa’s 54 nations, as the company seeks to broaden ownership of one of the continent’s largest industrial assets.

The company described the offer as a landmark for African capital markets, saying it recorded the largest opening-day offering in Nigerian capital market history and surpassed the previous African record within its first 10 days.

According to the refinery, participation has come from retail investors, pension funds, institutional investors, asset managers and financial technology platforms.

The offer is scheduled to close on October 27, with the company saying it does not currently envisage a further extension. It has also intensified investor education and engagement in selected markets ahead of the deadline.

The refinery is using its improved financial performance to support investor interest in the offering.

For the nine months ended September 30, 2026, the company reported revenue of $22.5bn and net profit of $4.7bn, compared with a net loss of $117.2m in the corresponding period of 2025.

Revenue increased by 144 percent from $9.2bn a year earlier, while earnings before interest, taxes, depreciation and amortisation rose to $5.5bn from $627.6m.

Operating cash flow also increased more than tenfold to $3.68bn, according to figures disclosed by the company.

Its reported balance-sheet position improved from net debt of $1.73bn in September 2025 to net cash of $651m in September 2026.

The figures suggest a substantial improvement in profitability, cash generation and financial positioning. However, they were disclosed by the company and have not been independently verified in the material available.

A source close to the refinery’s management said its recent performance had “progressed significantly beyond the baseline assumptions underpinning the IPO”, suggesting that the valuation used for the offer could be conservative relative to its latest results.

The source did not provide the underlying valuation assumptions, the offer valuation or details showing how the latest financial performance compared with the projections presented to investors.

Those disclosures would be important in assessing whether the offer price adequately reflects the refinery’s earnings, cash flow, debt position and future business prospects.

Cross-Border Participation Tests African Markets

The reported participation from 51 African countries also places the offer among the latest efforts to deepen investment links across the continent.

The refinery said it had worked with partners in Botswana, Egypt, Ethiopia and Kenya to establish cross-border arrangements intended to make it easier for investors in those markets to participate.

The company sees the structure as a potential model for future continent-wide share offerings.

However, the refinery did not explain the mechanics of the arrangements, disclose the number of investors who used them, or specify how much demand originated from the participating markets.

These details matter because African capital markets remain fragmented by different regulatory systems, currency restrictions, settlement arrangements and exchange requirements, which can make cross-border share purchases difficult.

The company also said shareholders could receive dividends linked to the US dollar, subject to its dividend policy and applicable regulatory approvals.

Such an arrangement could attract investors seeking exposure to earnings linked to a foreign currency, although the refinery has not disclosed the expected dividend amount, payment timetable or conditions governing any dollar-linked distributions.

Ownership Remains A Key Question

The refinery has presented the IPO as an opportunity for Africans and international investors to acquire stakes in a major industrial enterprise rather than participate only as consumers of its products.

A source close to management said the offering would give investors an opportunity to share in the wealth created by industrialisation.

However, the scale of participation alone does not establish how widely ownership will be distributed or how much capital the offering will raise.

The absence of a disclosed subscription value, investor breakdown and offer size makes it difficult to determine whether the reported international interest will translate into substantial capital mobilisation or a broad distribution of shares among African investors.

The refinery acknowledged the contributions of regulators, issuing houses, stockbrokers, financial institutions, fintech partners, investor associations, community leaders and the investing public to the offer.

With the October 27 deadline approaching, the eventual subscription figures and allocation details will provide a clearer picture of the IPO’s financial scale and the extent to which its cross-border ambitions have translated into actual share ownership.
